On June 18, 2024, ChampionX Corporation (ChampionX) held a special meeting of stockholders (the Special Meeting) to consider certain proposals related to the Agreement and Plan of Merger (the Merger Agreement), dated as of April 2, 2024, by and among ChampionX, Schlumberger Limited (SLB), Sodium Holdco, Inc. (Holdco), and Sodium Merger Sub, Inc. (Merger Sub), pursuant to which SLB will acquire ChampionX in an all-stock transaction by means of a merger of Merger Sub with and into ChampionX (the Merger), with ChampionX surviving the Merger as an indirect wholly owned subsidiary of SLB.
As of May 14, 2024, the record date for the Special Meeting, there were 190,424,532 shares of ChampionX common stock, par value $0.01 per share, (the Shares and each, a Share) outstanding and entitled to vote at the Special Meeting. At the Special Meeting, a total of 170,241,444 Shares, representing approximately 89.4% of the voting power of the issued and outstanding Shares, were present online or represented by proxy, constituting a quorum.
The following are the final voting results on the proposals considered and voted upon at the Special Meeting, each of which is described in more detail in ChampionXs definitive proxy statement filed with the U.S. Securities and Exchange Commission on May 15, 2024.
Proposal 1: The Merger Proposal
To adopt the Merger Agreement, pursuant to which (i) Merger Sub will merge with and into ChampionX in the Merger, with ChampionX surviving the Merger as an indirect wholly owned subsidiary of SLB (the Merger Proposal) and (ii) at the effective time of the Merger, ChampionXs certificate of incorporation will be amended and restated in its entirety in the form set forth on Exhibit A to the Merger Agreement, which will be the certificate of incorporation of ChampionX until thereafter amended in accordance with its terms and applicable law.
At the Special Meeting, the Merger Proposal was approved, having received for votes from holders of a majority of the outstanding Shares entitled to vote at the Special Meeting.

Proposal 2: The Compensation Proposal
To approve, by a non-binding, advisory vote, the compensation that may become payable to ChampionXs named executive officers in connection with the Merger (the Compensation Proposal).
At the Special Meeting, the Compensation Proposal was approved, having received for votes from holders of a majority of the voting power of Shares present online or represented by proxy and entitled to vote on such matter at the Special Meeting.

Proposal 3: The Adjournment Proposal
Because no supplement or amendment to the proxy statement was necessary to be provided to ChampionX stockholders and there were sufficient votes at the time of the Special Meeting to approve the Merger Proposal, adjournment of the Special Meeting was not necessary or appropriate.
Completion of the Merger remains subject to satisfaction or waiver of the closing conditions set forth in the Merger Agreement.
